May Space Music Art Space Joint Stock Company (“May Space”) and …… (“....”) COOPERATION AGREEMENT Cooperation Agreement
This Cooperation Agreement (the “Agreement”) is made on the date of …. by and between: (1)
May Space Music Art Space Joint Stock Company, a company duly organized and existing
under the laws of Vietnam with its Company Registration No. 0107922984, having its registered
office located at No. 8 TT1A, Line 622, Minh Khai Street, Vinh Tuy, Hai Ba Trung District, Hanoi,
Vietnam (hereinafter referred to as “May Space”) of the one part; and (2)
………… of the other part.
May Space and … are each referred to as a “Party” and collectively referred to as the “Parties”.
Whereas, May Space and … have intention to cooperate in organization and management of Rising
Stars International Arts Festival & Competition (hereinafter referred to as “RSIAF”), an annual music
competition originally organized and managed by May Space, for all … participants of such competition.
Now, therefore, the Parties agree to set their rights and obligations under this Agreement as follows: 1. Term of the Agreement

Exclusive Rights of …
May Space shall provide … with the exclusive rights as follows: (a)
The exclusive rights to organize and manage all processes of the preliminary rounds of
Competition and Festival Types of RSIAF for all … participants (hereinafter referred to
as the “Preliminary Rounds”), including but not limited to, the registration,
competition, judging and awarding processes of such rounds. (b)
The exclusive rights to organize and manage the registration process of the final rounds
of Competition and Festival Types of RSIAF for all … participants who are judged by …
to be qualified for (hereinafter referred to as the “Final Round Registration Process”). 3.
Obligations of May Space 3.1
May Space shall provide … with the right to use the trademarks and logos as listed in
Appendix I for the purpose of … organization and management of the Preliminary
Rounds and the Final Round Registration Process for all … participants under this Agreement free of charge. 3.2
May Space shall not, and shall not provide any third party with the rights to, organize
and manage the Preliminary Rounds and the Final Round Registration Process for all … participants. 3.3
If requested by …, May Space shall provide any support (within the scope of May Space,
it can be done) to … in relation to its organization and management of the Preliminary
Rounds and the Final Round Registration Process without delay. 3.4
May Space shall organize and manage the final rounds of Competition and Festival
Types of RSIAF to be completed within the period specified to AMS in advance. 4. Obligations of … Page 1 of 6 4.1
… shall organize and manage the Preliminary Rounds at its own discretion, costs and
expenses. The Preliminary Rounds shall be completed for not less than 14 days prior
to the first day of the final rounds of Competition and Festival Types of RSIAF to be
also specified by May Space in advance. 4.2
… shall organize and manage the Final Round Registration Process at its own discretion, costs and expenses. 4.3
… shall provide details and pay the fee (according to MaySpace's final round fee
schedule announced previously) of Thai participants who register for the final rounds
of RSIAF to May Space for not less than 7 days prior to the first day of the final rounds
of Competition and Festival Types of RSIAF. The fees listed in Appendix II do not
include travel and accommodation costs for candidates in Vietnam (...or candidates
attending the final round will have to pay themselves and prepare a travel plan travel and stay in Vietnam) 5.
Registration Fees and Other Benefits 5.1
… is entitled to all registration fees and other benefits arising from the Preliminary
Rounds and the Final Round Registration Process, except for the registration fees of
the Final Round Registration Process as specified in Clause 5.2. 5.2
May Space is entitled to all registration fees arising from the Final Round Registration
Process as listed in Appendix II which shall be directly paid to … and ... will remit the
total registration fee to MaySpace via PayPal's money transfer service according to
MaySpace's instructions by the registered participants and via PayPal’s money transfer
services as per MaySpace’s instructions. However, the Parties may mutually agree to
amend such fees and payment method. 5.3
In case May Space fails to organize and manage the final rounds of RSIAF to be
completed within the period as specified in Clause 3.4, May Space shall directly and
fully return its received registration fees as specified in Clause 5.2 to … the same
method May Space receives such fees within 15 days after such period. … is entitled
to demand May Space to return such fees to … as per this clause. 6.
Representation and Warranty
May Space represents and warrants that it has proprietary rights over the trademarks and logos
listed in Appendix I. May Space shall be responsible for any damages incurred by … due to
any claims from any third person due to …’s use of such trademarks and logos. 7. Taxes and Expenses
Each Party shall be responsible for its own taxes and expenses incurred by itself under this Agreement. 8. Notices
Every notice, consent and demand under this Agreement shall be in English language and in
writing, and can be delivered personally or by a registered post or an email as follows: a)

The Parties can mutually agree to terminate this Agreement; 9.2
This Agreement is terminated upon a termination notice by a Party is delivered to the
other Party after such other Party fails to rectify its breach of any clause of this
Agreement within a reasonable period specified by the first Party. Such other Party
shall be responsible for any damage incurred by the first Party due to such breach. 9.3
In case there are less than … … participants register for the Preliminary Rounds in any
year. … is entitled to terminate this Agreement in the following year. 10. Miscellaneous a) Governing Law
This Agreement shall be interpreted and governed according to the laws of …. Any
disputes between the Parties under this Agreement shall be settled by the competent court of …. b) Amendments
No amendments or variations of the terms and conditions of this Agreement shall be
valid unless made in writing and signed by the Parties. c) Assignability
… reserves the right to assign its rights and/or obligations under this Agreement to any
third party and requires prior consent from MaySpace. At the same time, in case
MaySpace intends to do so, it must have the prior written consent of …. d) Entire Agreement
This Agreement sets forth and constitutes the entire agreement and understanding of
the Parties with respect to the subject matter hereof. This Agreement supersedes any
and all prior agreements, communications, representations and warranties, whether
oral or written, of any Party to this Agreement. e) Severability
Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction
is ineffective as to that jurisdiction to the extent of the prohibition or unenforceability. Page 3 of 6
This does not invalidate the remaining provisions of this Agreement nor affect the
validity or enforceability of that provision in any other jurisdictions. f) Languages
Whether this Agreement is translated into …, Vietnamese or other languages, the
English version of this Agreement is definitive. g) Counterparts
This Agreement may be executed in any number of counterparts. All counterparts
together will be taken to constitute one and the same instrument, and any Party may
enter into this Agreement by signing any such counterpart.
IN WITNESS THEREOF, the Parties have executed this Agreement on the date first written above.
The Parties, having read and well understood the provisions stipulated in this Agreement, deem them
correct as intended in all respects hereof, and do hereunto affix their signatures and seals (if any) in
the presence of witnesses bearing testimony hereto. Each respective Party shall hold and keep one
