The Advertiser described above wishes to insert advertisements in the “L.I.V” (“Publication”) published by
Viet Nam Source Co. Ltd.. (“Publisher”), and the Publisher whishes to sell advertising space in the Publication to the Advertiser.
NOW, THEREFORE, the Advertiser and the Publisher (“Parties”) hereto agree as follows：
1) All advertisement is non-cancellable after this contract has been executed. Prepaid payment can’t be refund. If the
Advertiser terminates this Contract before the date of expiry of the Advertising Period described above for any reason, the
Advertiser shall pay an amount equal to 50% of the remaining advertising fees until the end of the Period to the Publisher as liquidated damages.
2) The Advertiser shall make payment of advertising fees to the Publisher by bank transfer or cash by the due date described
in the payment request provided by the Publisher.
3) If the Advertiser fails to make payment to the Publisher in accordance with this contract, the
Adviser shall be liable for any
loss or damages which the Publisher may suffer, including but not limited to overdue interest of fifteen percent (15%) per
annum for the actual days elapsed.
4) The advertisement for the Advertiser shall be published in the Publication in accordance with the terms and conditions of this contract.
5) If the Advertiser is in default or breach of any clauses of this contract, The Publisher may stop the advertisement for the
Advertiser and/ or terminate this contract immediately. The Publisher shall not be liable for any damages relating to such termination.
6) The Advertiser shall indemnify and hold the Publisher harmless against all actions, claims, demands, liabilities, losses,
costs, and expenses including legal fees which may arise or which may be made against
Publisher in connection with the
advertisement of the Advertiser's good or services, including but not limited to the claim of non-compliance with the
consumer protection law or counterfeit goods or an infringement of any third party's
intellectual property right. The
advertisement shall comply with all relating laws and regulations in connection with
advertisement. The Publisher may refuse
the demand of interpretation, inspection or change from the Advertiser on the content or format of the advertisement.
7) The Advertiser shall confirm the content and materials (including but not limited to design and color) of advertisement at
least 12 days before its time of publication. The Publisher shall not be liable for the content of
advertisement confirmed by the
Advertiser. If the advertisement is published without the Advertiser’s confirmation of the content of advertisement for reasons
attributed to the Advertiser, the Publisher shall not be liable. If a material error was made in the advertisement for reasons
attributable to the Publisher, the Publisher shall be relieved from its liabilities by publishing the advertisement again within
Sixty (60) days after the material error was found or by giving a refund of part of the advertising fee to the Advertiser.
8) Except for the advertisements created or prepared by the Advertiser, the Publisher shall own the copyright in all
advertisements placed in the Publication. The Advertiser shall not use the advertisements without
the Publisher’s prior written consent.
9) This contract shall be governed by and construed in accordance with the laws of Vietnam. All disputes arising out of or in
relation to this contract shall be finally settled by the Vietnam International Arbitration Centre at the Vietnam Chamber of
Commerce and Industry in accordance with its Rules of Arbitration.
10) This contract shall be prepared in Japanese, Vietnamese, and E nglish. In case of any
difference, the Vietnamese version shall prevail.
上記のAdvertiser（以下「甲」という）は Viet Nam Source Co. Ltd..（以下「乙」という）が
出版する “L.I.V”（以下「出版物」
という）に広告を掲載することを希望し、乙は甲に対して出版物の広告欄を販売すること を希望する。
したがって、甲及び乙（以下「両当事者」という）は、以下の通り合意する。
1) 甲は、本契約の締結後、広告掲載を取り消すことは一切できない。前払い金は返金され
ない。甲が、上記広告期間満了前に
本契約を解約する場合、理由の如何にかかわらず、甲は残りの期間の広告料の 50％相当を
違約金として支払わなければなら ない。
2) 甲は、乙に対して、広告料を乙から提供される Payment Request に記載された締切日まで
に、銀行送金又は現金によって支
払わなければならない。
3)甲が本契約に基づく乙に対する支払いをしないときは、乙の被ることのある全ての損失
または損害について（支払いを遅
延した実日数につき年 15％の割合による遅延損害金を含むがこれに限られない）甲が責
任を負うものとする。
4)甲のための広告は、本契約の条件にしたがって、出版物に掲載される。
5) 甲が本契約の条項の履行をしなかった場合又は本契約の条項に違反した場合、乙は甲の
ための広告の掲載を中止し、本契
約を直ちに解除することができる。乙は、当該解除に関して生じた損害について一切の責 任を負わない。
6) 甲は、甲の製品又はサービスの広告に関連して生じる又は乙に対して生じる、訴訟、請求、
要求、損害、損失、費用、経費（弁
護士費用を含む）の全てを補償し、乙に何らの損害も与えないものとする（消費者保護法
違反、偽造、第三者の知的財産権の
侵害を含むがこれに限られない）。広告は、広告に関する全ての関係法令に従うものとする
。乙は、広告の内容、形式などに関
する、甲からの解釈、検査又は変更の要望を拒否することができる。
7)甲は、広告の内容及びその素材（デザイン及び色を含むがこれに限られない）を広告
掲載予定日の 12 日前までに確認し
なければならない。乙は甲が確認をした広告について一切責任を負わない。甲の責任によ
り甲が広告内容を確認することな
く広告が掲載された場合、乙は一切責任を負わない。また、乙の責任により広告に重大な
間違いがあった場合、乙はその重大
な間違いが確認された日から 60 日以内に当該広告を再度掲載するか、広告料の一部を返
金することによって当該責任を免 れる。
8) 甲で制作または用意をした広告を除き、出版物に掲載された全ての広告の著作権は乙に
属する。甲は、乙の書面による事前
の同意を得ることなく当該広告を使用することはできない。
9)本契約は、ベトナム法によって支配され、解釈されるものとする。本契約から生じるあ
らゆる紛争又は本件に関して生じる
あらゆる紛争は、ベトナム商工会議所におけるベトナム国際仲裁センターによって、その
仲裁規則に従い、終局的な解決がな されるものとする。
10)本契約は、日本語、ベトナム語及び英語で作成される。相違がある場合には、ベトナ ム語版が優先する。 phẩm”) do Công ty TNHH

Bên đăng quảng cáo. NAY, DO ĐÓ, Bên đăng quảng cáo và Nhà Phát hành (“Các Bên”) bằng
Hợp đồng này thỏa thuận như sau：
1) Tất cả các yêu cầu quảng cáo sẽ không được hủy bỏ sau khi hợp đồng này được ký kết. Các
khoản tiền đã thanh toán cũng
sẽ không được hoàn trả. Nếu Bên đăng quảng
cáo được mô tả ở trên vì
bất kỳ lý do nào, Bên đăng quảng cáo phải thanh toán một khoản bồi thường thanh lý hợp đồng cho Nhà Xuất bản tương
2) Bên đăng quảng cáo sẽ thực hiện thanh toán phí quảng cáo cho Nhà Xuất bản bằng phương
thức chuyển khoản hoặc tiền
3) Trong trường hợp Bên đăng quảng cáo không chi trả phí quảng cáo theo hợp đồng này thì Bên
đăng quảng cáo sẽ phải chiụ
suất chậm trả là 15%/năm đối với những ngày chậm trả thực tế.
4) Quảng cáo của Bên đăng quảng cáo sẽ được đăng trên Ấn phẩm phù hợp với các điều kiện và
điều khoản của hợp đồng này. 5)
Nhà Phát hành sẽ dừng đăng
quảng cáo của Bên đăng quảng cáo và/ hoặc chấm dứt hợp đồng này ngay lập tức. Nhà phát hành
sẽ không phải chịu trách
6) Bên đăng quảng cáo sẽ bồi thường và giữ cho Nhà phát hành vô
yêu cầu phải gánh chịu liên
quan đến việc quảng cáo hàng hoá và dịch vụ của Bên đăng quảng cáo, bao gồm nhưng không giới
quan đến việc không tuân thủ quy định của thủ luật bảo vệ người tiêu dùng, hàng giả hoặc xâm của bất kỳ bên thứ
chối các yêu cầu được diễn giải, kiểm tra hoặc thay đổi nội dung hoặc hình thức quảng cáo của Bên đăng quảng cáo.
7) Bên đăng quảng cáo sẽ xác nhận nội
thiết kế và màu sắc) của quảng
cáo ít nhất 12 ngày trước ngày đăng quảng cáo. Nhà phát hành sẽ không chịu trách nhiệm với nội dung của quảng cáo đã
được Bên đăng quảng cáo xác nhận. Nhà Phát hành sẽ không chịu trách nhiệm nếu quảng cáo
xác nhận của Bên đăng quảng cáo về nội dung của quảng cáo vì nguyên nhân thuộc về Bên đăng quảng cáo. Trong trường thì Nhà
phát hành sẽ được miễn trừ
được phát hiện hoặc bằng
quảng cáo thực hiện hoặc chuẩn bị, Nhà phát hành sẽ
sở hữu bản quyền của tất cả
các quảng cáo được đăng trên Ấn phẩm. Bên đăng quảng cáo sẽ không sử dụng các quảng cáo mà
không được sự đồng ý
trước bằng văn bản của Nhà phát hành.
9) Hợp đồng này được điều chỉnh và giải thích theo pháp luật Việt Nam. Các tranh chấp phát sinh
từ hoặc liên quan đến hợp Quy tắc Trọng tài. 10) Hợp đồng này đ
khác biệt, bản tiếng Việt sẽ được áp dụng. 【Special Instruction】（ ）
